[Preamble and Acceptance of Terms]

Welcome to the services provided by VOKNOV PicTech.AI (hereinafter referred to as "this Platform," "we," "us," or "the Company"). This User Service Agreement (hereinafter referred to as "this Agreement") constitutes a legally binding agreement between you (whether an individual or representing a specific entity, hereinafter referred to as "User" or "you") and this Platform regarding your access to, registration with, and use of this Platform's website, mobile applications, APIs, or any related services (hereinafter collectively referred to as "the Services").

Before you register, log in, order, or actually use the Services, please carefully read and fully understand all terms of this Agreement, especially the core clauses that limit or exempt liability, address fees and refunds, governing law, and dispute resolution, which are highlighted in bold or underlined. By clicking to confirm on the webpage, actually using the Services, or indicating acceptance of this Agreement in any other express or implied manner, you are deemed to have read, understood, and agreed to all the contents of this Agreement. If you do not agree to any term of this Agreement, please stop using the Services immediately.

Article 1 Service Model and Scope of Functions

This Platform adopts a "Freemium" model (Free Trial + Paid Subscription).

1.1 Free Trial Services

This Platform provides a daily free image translation allowance for unsubscribed users, subject to the following limitations:

(a) Unregistered Users: Entitled to translate 1 image per day free of charge, limited to single-image translation.
(b) Registered Free Users: Entitled to translate up to 5 images per day free of charge, limited to single-image translation using standard processing speed.
(c) Free Data Retention Period: Historical translation records and related data generated by free users on the Platform will only be retained by the system for 3 calendar days (72 hours). Any data not exported within this period will be automatically and irreversibly deleted by the system.

1.2 Paid Subscription Services (Starter / Pro / Business, etc.)

(a) We offer various tiers of paid subscription plans (including but not limited to Starter, Pro, Business, etc.) for users with higher demands. The specific names, pricing, included credits, exclusive privileges, and functional limitations of the subscription plans shall be subject to the real-time information displayed on the Platform's [Subscription/Pricing Page] at the time of your purchase. The content of the pricing page constitutes an integral part of this Agreement.
(b) Paid subscription users receive plan credits and access to single-image and batch translation. Both modes consume 1 credit per translated image, and each batch translation task supports up to 50 images. Other image tools, including background removal and object erasure, are currently available without consuming image-translation credits. Their availability, limits, or pricing may change after reasonable notice, as shown on the relevant tool or pricing page.

1.3 Service Adjustments

The Company reserves the right to adjust free trial rules, subscription plan prices, functional divisions, and credit deduction rules at any time based on market operation needs, technical upgrades, or changes in laws and regulations. We will announce any material changes on this Platform or via system notifications within a reasonable period beforehand.

Article 2 Subscription Term, Credits, and Data Retention

2.1 Subscription Term and Billing Methods

We offer two subscription terms:

(a) Monthly Subscription: Billed monthly, with automatic renewal and deduction at each billing cycle (1 calendar month).
(b) Annual Subscription: Billed annually, using an annual pre-payment system (which typically offers a discount compared to the cumulative cost of monthly subscriptions, with the specific discount rate subject to the pricing page). Renewal and deduction occur automatically at each billing cycle (1 calendar year).

2.2 Credit Distribution and Expiration Rules

(a) The credits included in your subscription plan are consumption units for image translation. Single-image and batch translation both consume 1 credit per translated image. Credits have no monetary value and cannot be withdrawn, transferred, gifted, or inherited.
(b) Monthly Distribution and Expiration: For both monthly and annual subscriptions, plan credits are distributed monthly. Unused credits expire and are cleared at the end of each monthly allocation period and cannot be accumulated, extended, or carried over to the next month. Annual subscriptions are billed annually, but their credits are still issued in monthly allocations; monthly credit distribution does not constitute monthly billing. By ordering the Services, you acknowledge and agree to this mechanism.
(c) Canceling automatic renewal does not terminate benefits already paid for. Monthly plan credits will continue to be distributed during the remaining paid subscription term, subject to monthly expiration. When the paid subscription term ends, all remaining subscription credits and future monthly allocations cease.

2.3 Paid User Data Retention Rules

(a) During the subscription validity period, paid subscription users' historical records and generated data will be retained in the system for 30 calendar days.
(b) Cleanup after Service Downgrade: If your paid subscription expires and is not renewed (the service is downgraded to a free user level), the retention period of your historical records will automatically be shortened to the 3 days applicable to free users. For historical data exceeding 3 days, the system may automatically clean it up at any time after the subscription expires.
(c) Backup Obligation: This service is merely a productivity assistance tool, not a cloud data backup or archiving platform. You shall download and back up your outputs at your own discretion and at any time. The Company shall not bear any recovery or compensation liability for any loss of data resulting from exceeding the aforementioned retention periods, account cancellation, or subscription suspension.

Article 3 Fees, Payment, and Refund Policy

3.1 Auto-Renewal and Cancellation

(a) Subscriptions to this Service are set to auto-renew by default. Unless you actively cancel the auto-renewal through your account settings at least 24 hours prior to the expiration of the current subscription term (monthly or annual), the system will automatically renew your subscription at expiration and deduct the fee for the next term from your bound payment method.
(b) You may cancel your subscription at any time. After cancellation, you will continue to enjoy the corresponding subscription benefits for the remainder of the currently paid billing cycle, but you will not receive a refund for that cycle.

3.2 Final Transactions and Refund Principles

[Special Declaration] Except where mandatory refund laws in your country or region dictate otherwise (for example, the 14-day cooling-off period refund right for online digital content purchases stipulated under EU/UK law, provided you did not explicitly consent to immediate service delivery and waive your refund rights upon purchase), all subscription fees paid under this Service (whether monthly or annual) are final transactions. Once payment is successful and the Service has actually commenced (including credits being credited to your account or the Service being activated), the Company generally does not provide refunds, returns, or cash-exchange services.
For annual subscription users, once the pre-payment of the annual fee is completed, it represents your agreement to lock in the usage rights for that year. To the maximum extent permitted by applicable law, if you unilaterally terminate usage or cancel the subscription midway, we will not refund the remaining monthly fees already collected for that year.
If payment is successfully deducted due to a system error but the credits are not credited to your account, please contact our customer service email (pictech.ai@gmail.com) within 48 hours for verification and reissue.

Article 4 Disclaimers, Limitation of Liability, and Intellectual Property Rights

4.1 [Core Clause] Technical Limitations of AI and Disclaimer on Translation Accuracy

(a) This Service is built on artificial intelligence (AI) technology. Due to the inherent technical limitations of AI, the Company cannot make any express or implied warranty regarding the accuracy, completeness, legality, suitability, non-infringement, or exclusivity of all AI outputs, including translation, background erasure, background removal, and object removal.
(b) All outputs provided by this Platform are for reference only. The final review, modification, confirmation, and usage decisions of all outputs are your sole and independent responsibility. The Company shall not be liable for any business misdirection, translation errors, commercial losses, or legal disputes resulting from your reliance on the outputs of this Service.

4.2 [Core Clause] Disclaimer on Consequences of Use

(a) You shall independently bear all legal and commercial risks associated with the usage methods, publishing channels (such as e-commerce platforms, social media, advertising media, etc.), and final purposes of the images and translations processed through this Service.
(b) To the maximum extent permitted by applicable law, the Company, its affiliates, employees, and agents shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages (including loss of profits, damage to goodwill, business interruption, or third-party infringement claims) arising from your use of or inability to use this Service, even if the Company has been advised of the possibility of such damages.

4.3 Intellectual Property Rights and Data Privacy

(a) Your Content and AI Training Authorization: You retain full legal rights to the original images, texts, and materials you upload to this Platform. You hereby grant this Platform a non-exclusive, worldwide, royalty-free, irrevocable, and sublicensable right to use, process, reproduce, and modify your uploaded content solely within the scope necessary to provide the Services, optimize the system, and train AI models. We commit to de-identifying or anonymizing data during any such processes used for system optimization or model training to protect your privacy. If you do not wish your uploaded content to be used for AI model training, you can opt out via your account settings or contact our customer service email. For specific enterprise-level subscriptions (such as the Business tier), we will by default not use any uploaded materials for model training.
(b) Platform Content: Except for the materials uploaded by you, all technical structures, interface designs, software codes, algorithms, trademarks, and brand assets contained in this Service (including the "VOKNOV" and "PicTech.AI" brands) belong to the Company or its licensors.

Article 5 User Code of Conduct

You undertake that when accessing or using this Service, you will strictly comply with all applicable laws and regulations of your location and the place where this Service is provided, and you shall not engage in the following activities:

Uploading, translating, producing, or disseminating any content that involves obscenity, violence, terrorism, malicious defamation, infringement on others' reputation, privacy, intellectual property rights, or violates other applicable laws.
Using any automated or improper means (including but not limited to web scrapers, plug-ins, malicious scripts, API abuse, etc.) to acquire data in bulk or disrupt the operation of this Service.
Engaging in reverse engineering, decompiling, disassembling, or attempting to extract or steal the software source code or AI algorithm models of this Service.
Transferring, renting, reselling, or sharing your platform account with any third party.

If you violate the above commitments, the Company has the right to directly take measures such as limiting services, deducting credits, or temporarily, freezing, or permanently terminating your account usage rights without prior notice, without refunding any paid fees, and reserves the right to pursue your legal liabilities.

Article 6 Service Interruption and Force Majeure

This Service may experience temporary interruptions, delays, or limitations due to system maintenance, server failures, telecommunications operator network fluctuations, hacker attacks, changes in policies or laws and regulations, or force majeure events such as natural disasters or wars. You understand and agree that we shall not be held liable for any service suspension, data damage, or data loss caused by such force majeure events or events beyond our reasonable control.

Article 7 Dispute Resolution and Governing Law

7.1 Friendly Negotiation

Any dispute or controversy between the parties arising from the interpretation, performance, breach of this Agreement, or the use of this Service shall first be resolved through friendly negotiation in good faith (customer service email: pictech.ai@gmail.com).

7.2 Dispute Resolution Method

If a dispute cannot be resolved through friendly negotiation within 30 days from the commencement of such negotiations, either party shall submit the dispute to the Hong Kong International Arbitration Centre (HKIAC) for binding arbitration in accordance with the arbitration rules of the Centre in force at the time of applying for arbitration. The arbitral tribunal shall consist of one arbitrator. The seat of arbitration shall be Hong Kong. The arbitration proceedings shall be conducted in Chinese. The arbitral award shall be final and legally binding on both parties.

Article 8 Miscellaneous Terms

8.1 Amendments and Updates to the Agreement

We reserve the right to revise this Agreement from time to time based on business developments. Once the content of this Agreement is modified, we will publish the latest version on this Platform. The revised terms shall take effect upon publication. If you continue to use this Service after the Agreement is updated, you are deemed to have accepted and agreed to comply with the revised Agreement.

8.2 Severability

If any provision of this Agreement is determined by a competent authority to be invalid, illegal, or unenforceable for any reason, such provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement shall remain in full force and effect.
